Website Hosting Terms & Conditions

These Website Hosting Terms & Conditions (“Terms”) govern website hosting services provided by Mixture Web LLC (“Mixture Web,” “Company,” “we,” “us,” or “our”) to the customer receiving hosting services (“Client,” “you,” or “your”).

These Terms apply to all website hosting services purchased from or provided by Mixture Web unless different terms are expressly agreed to in writing.

Acceptance of Terms

By submitting payment for website hosting services, Client acknowledges that Client has read, understands, and agrees to be bound by these Website Hosting Terms & Conditions. Payment constitutes Client’s acceptance of these Terms, whether or not a separate agreement is physically or electronically signed.

These Terms may also be incorporated by reference into a Mixture Web proposal, invoice, service agreement, order, or other written communication.

1. Hosting Services

Mixture Web agrees to provide website hosting services according to the hosting plan or services purchased by Client.

Unless specifically included in a separate proposal, agreement, invoice, or service plan, website hosting does not include website design, development, marketing, search engine optimization (SEO), content creation, website updates, troubleshooting, or other maintenance services.

Mixture Web reserves the right to use subcontractors, data centers, cloud providers, server providers, and other third-party vendors to provide hosting services.

2. Hosting Subscription & Automatic Renewal

Unless otherwise agreed to in writing, website hosting is provided as an annual subscription.

The initial subscription term is one (1) year. Hosting automatically renews for successive one-year terms unless Client provides written notice of cancellation at least 30 days before the applicable renewal date.

Future hosting payments are due on the applicable anniversary or renewal date. Client authorizes Mixture Web to charge the payment method maintained on file for hosting renewals and other agreed charges.

Hosting payments are non-refundable.

3. Payment & Late Fees

Client is responsible for paying all hosting fees and other charges when due.

Past-due balances may be subject to the following:

  • 20% late fee after 10 days past due.
  • 30% late fee after 30 days past due.
  • After 90 days, hosting services may be suspended or terminated.
  • A $550 reactivation fee may apply following suspension.

Mixture Web reserves the right to suspend or terminate hosting services for nonpayment.

4. Additional Services

Services that are not included in Client’s hosting plan may be billed separately. These may include website updates, troubleshooting, migrations, technical support, emergency work, development, repair work, or other requested services.

Additional services will be billed at Mixture Web’s then-current hourly rates, unless another price is agreed to in writing before the work is performed.

Billable services may be billed in half-hour increments and rounded up to the next half-hour.

5. Domain Names

When requested, Mixture Web may assist Client with registering, transferring, configuring, or managing a domain name.

Client retains ownership of its domain name and associated rights.

A domain name may reside within a Mixture Web-managed registrar account or within a registrar account selected by Client, provided Mixture Web is granted appropriate access when necessary to provide services.

If a domain is not maintained or billed through Mixture Web, Client is solely responsible for maintaining and renewing the domain registration.

Mixture Web is not responsible for domain expiration, website downtime, email interruption, loss of a domain, or other damages resulting from Client’s failure to renew or properly maintain a domain that is outside Mixture Web’s management.

6. Security & Hosting Risks

Client acknowledges that no website, server, network, hosting environment, software platform, or Internet-connected system can be guaranteed to be completely secure or continuously available.

While Mixture Web takes reasonable measures to maintain a secure and reliable hosting environment, Mixture Web does not guarantee that hosting services will be uninterrupted, error-free, completely secure, or immune from unauthorized access, malware, hacking, software vulnerabilities, or other security incidents.

Client accepts the inherent risks associated with operating and hosting a website.

7. Backups & Restoration

Mixture Web may maintain backups of hosted websites as part of certain hosting plans or internal disaster-recovery procedures.

Backups are provided as a convenience and are not guaranteed. Client should not rely upon Mixture Web as the sole repository or backup source for business-critical website data.

Mixture Web does not guarantee that any particular backup will be available, complete, current, or capable of being successfully restored.

Restoration of a website from backup may be included with certain hosting plans or may constitute a separately billable service.

Following cancellation or termination of hosting services, Mixture Web is not obligated to indefinitely retain website files, databases, backups, email, or other Client data.

8. Website Software, Updates & Malware

Unless website maintenance is specifically included in Client’s service plan, Client remains responsible for the condition and maintenance of the website itself, including WordPress, themes, plugins, third-party integrations, and other website software.

Mixture Web is not responsible for security vulnerabilities, compatibility problems, malware, hacking, data loss, or website failure caused by outdated or vulnerable website software, Client actions, third-party software, compromised passwords, or third-party services.

If a website becomes compromised, infected, or otherwise creates a security risk, Mixture Web may temporarily suspend the website when reasonably necessary to protect Client data, other customers, servers, or network infrastructure.

Malware cleanup, website repair, restoration, or other remediation may be billed separately unless included in Client’s service plan.

9. Server Migrations & Planned Outages

Client acknowledges that server migrations and infrastructure changes are a normal part of providing hosting services.

Mixture Web may migrate websites, accounts, or services between servers, networks, data centers, or hosting environments when reasonably necessary.

As a result of a migration, Client’s IP address may change. This includes websites using a dedicated IP address. Mixture Web does not guarantee permanent retention of any particular IP address.

Planned server maintenance or outages will generally be scheduled outside normal business hours when reasonably possible.

Notices regarding significant planned maintenance may be communicated through Mixture Web’s website, social media, email, or other reasonable communication methods.

10. Prohibited & Abusive Activities

Client may not use Mixture Web hosting services in a manner that threatens the operation, security, reputation, or stability of Mixture Web’s servers, networks, systems, or third-party infrastructure.

Prohibited activities include, but are not limited to:

  • Mail bombs or abusive bulk email activity.
  • Internet packet flooding.
  • Packet corruption.
  • Denial-of-service attacks.
  • Server hacking or attempted hacking.
  • Security breaches or attempted unauthorized access.
  • Anonymous gateway services.
  • Excessive or abusive server resource usage.
  • Distribution of malware or malicious software.
  • Activities that compromise or threaten other websites, accounts, servers, or users.

Mixture Web reserves the right to temporarily suspend or permanently remove any website that violates these Terms or threatens the security, performance, or stability of the hosting environment.

If multiple websites are maintained under the same hosting account and one website creates a security, abuse, or stability issue, Mixture Web may take reasonable action affecting other websites associated with that account when necessary to protect the hosting environment.

11. Resource Usage

Client agrees to use hosting resources reasonably and in accordance with the hosting plan purchased.

Mixture Web may take reasonable action when a website consumes excessive CPU, memory, bandwidth, storage, database resources, or other server resources in a manner that negatively affects server stability or other customers.

Mixture Web may require Client to upgrade hosting services, reduce resource usage, correct the underlying problem, or move to a more appropriate hosting environment.

12. Email Services

Website hosting does not include email hosting or email-related services unless specifically stated in Client’s proposal, invoice, hosting plan, or service agreement.

When Mixture Web assists with third-party email platforms or services, availability and performance may be subject to the terms and systems of the applicable third-party provider.

Mixture Web cannot guarantee email delivery or prevent messages from being classified as spam or rejected by third-party mail systems.

13. Third-Party Services

Mixture Web’s hosting services may rely upon third-party software, networks, registrars, control panels, data centers, infrastructure providers, security providers, and other third-party services.

Client agrees to comply with applicable third-party terms and acceptable-use policies when those services are used in connection with Client’s hosting.

Mixture Web is not responsible for outages, policy changes, service interruptions, security incidents, or other failures caused solely by third-party providers outside Mixture Web’s reasonable control.

14. Client Content & Responsibility

Client is responsible for the content published on Client’s website and for ensuring that such content complies with applicable laws, regulations, intellectual property rights, privacy requirements, and other legal obligations.

Mixture Web does not assume responsibility for Client-created or Client-provided website content.

Client agrees to indemnify and hold Mixture Web harmless from claims, damages, losses, liabilities, costs, or expenses arising from Client’s website content or Client’s use of hosting services.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MIXTURE WEB LLC SHALL NOT BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE USE OR INABILITY TO USE HOSTING SERVICES.

Mixture Web is not responsible for loss of sales, revenue, customers, business opportunities, profits, or business interruption resulting from downtime, service suspension, termination, or nonpayment.

16. Suspension & Termination

Either Mixture Web or Client may terminate hosting services by providing at least 30 days’ written notice, subject to the applicable subscription and renewal terms.

Upon termination:

  • Client remains responsible for all outstanding balances.
  • Hosting services will cease at the end of the applicable paid billing period unless earlier suspension or termination is permitted under these Terms.
  • Website files will be made available upon request after outstanding balances have been paid in full.
  • Previously paid hosting fees are non-refundable.
  • Mixture Web has no obligation to continue storing Client’s website or data indefinitely following termination.

Mixture Web may suspend services sooner when reasonably necessary because of nonpayment, security threats, abusive activity, legal requirements, or violations of these Terms.

17. Changes to These Terms

Mixture Web may update these Website Hosting Terms & Conditions from time to time to reflect changes in services, technology, hosting infrastructure, third-party providers, legal requirements, or business practices.

The current version of these Terms will be published on the Mixture Web website with the applicable “Last Updated” date.

Continued use or renewal of hosting services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

18. Governing Law

These Website Hosting Terms & Conditions are governed by the laws of the State of Minnesota.

Any legal action arising from these Terms or the hosting relationship shall be brought exclusively in Crow Wing County, Minnesota.

19. Acceptance & Entire Hosting Terms

By purchasing, renewing, continuing to use, or making payment for website hosting services provided by Mixture Web LLC, Client acknowledges that Client has reviewed and agrees to these Website Hosting Terms & Conditions.

Payment constitutes acceptance of these Terms.

These Terms, together with any applicable proposal, invoice, order, or separately executed service agreement, constitute the terms applicable to Client’s hosting services. If a separately executed written agreement expressly conflicts with these Terms, the terms of that written agreement will control with respect to that conflict.
